Terms of Service

The Short Version
Buy a license, use the software. Don't resell it or use it for illegal stuff. We provide the software as-is and aren't liable if something goes wrong. Be reasonable, and we will too.
Agreement
By purchasing or using SimpleSuite software, you agree to these terms. If you don't agree, don't use the software.
Who We Are
SimpleSuite is a product of Emmaus Development LLC, a sole proprietorship based in Oklahoma, USA.
License Grant
When you purchase a SimpleSuite product, we grant you a non-exclusive, non-transferable license to:
- Use the software on any devices you personally own or control
- Store and process your own business data
- Export your data at any time in standard formats
What You Can Do
- Use the software for personal or commercial purposes
- Install on multiple devices you own (desktop, laptop, phone)
- Make backups of the software for your own use
What You Cannot Do
- Resell, redistribute, or sublicense the software
- Share your license key with others
- Reverse engineer, decompile, or disassemble the software
- Remove copyright notices or branding
- Use the software for illegal purposes
- Claim you created the software
Bundles
When you purchase a bundle, you receive individual licenses for each included app. Bundle pricing reflects a discount—individual apps within bundles follow the same license terms as standalone purchases.
Free Tools
Some SimpleSuite tools are offered free of charge. These are provided as-is with no warranty or support guarantee. We may discontinue free tools at any time.
Cloud Sync (Optional)
Cloud sync is an optional paid service. If you subscribe:
- Service is provided on a month-to-month basis
- You can cancel anytime; access continues through the end of your billing period
- Your data remains yours—export it anytime
- We may suspend service for non-payment or abuse
SimpleAI Add-On
SimpleAI connects SimpleSuite apps to third-party AI providers. By using SimpleAI, you understand and agree:
Your Responsibilities
- API Key & Account: You must obtain your own API key and account from your chosen AI provider (Anthropic, OpenAI, Google, Mistral, Groq, or Ollama). We don't provide API keys.
- API Costs: You pay your AI provider directly for API usage. We don't bill you for AI usage and don't mark up costs. Monitor your usage with your provider.
- Provider Terms: You're responsible for complying with your AI provider's terms of service and acceptable use policies.
- Data You Send: You choose what data to send to AI providers. Don't send sensitive information you're not comfortable sharing with your chosen provider.
What We Don't Guarantee
- Availability or uptime of third-party AI providers
- Quality, accuracy, or appropriateness of AI responses
- Continued availability of any specific AI provider or model
- Pricing or terms of third-party AI services
Ollama (Local AI)
If you use Ollama, AI processing happens entirely on your computer. No data is sent to external servers. You're responsible for installing and maintaining Ollama separately—it's not part of SimpleSuite.
Updates
License purchases include free updates to the purchased product. "Updates" means bug fixes and minor improvements. Major new versions (e.g., SimpleSuite 2.0) may require a separate purchase, though we typically offer upgrade discounts to existing customers.
Support
We provide email support for licensed customers. We'll do our best to help, but we don't guarantee response times or resolution of all issues. Priority support (included with Complete Suite) means your emails go to the front of the queue.
Your Data
You own your data. We don't claim any rights to information you create or store using SimpleSuite. You're responsible for backing up your data—we recommend using the built-in export feature regularly.
Warranty Disclaimer
SimpleSuite software is provided "as is" without warranty of any kind. We don't warrant that the software will be error-free, uninterrupted, or fit for any particular purpose. We make no guarantees about the accuracy of calculations, reports, or other outputs.
Some jurisdictions don't allow warranty disclaimers, so this may not apply to you.
Limitation of Liability
To the maximum extent permitted by law, Emmaus Development LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of SimpleSuite software.
Our total liability for any claim related to the software is limited to the amount you paid for the license.
This means: if you lose a million-dollar client because our software had a bug, we're not liable for a million dollars. We're liable for the $49 (or whatever) you paid us. This isn't us being mean—it's how small software businesses survive.
Indemnification
You agree to indemnify and hold harmless Emmaus Development LLC from any claims, damages, or expenses arising from your use of the software or violation of these terms.
Termination
We may terminate your license if you violate these terms. If terminated, you must stop using the software and delete all copies. Termination doesn't entitle you to a refund (see our Refund Policy for refund terms).
Changes to Terms
We may update these terms. Continued use after changes constitutes acceptance. For significant changes, we'll notify customers by email. Changes don't apply retroactively to existing licenses.
Governing Law
These terms are governed by the laws of the State of Oklahoma, USA. Any disputes will be resolved in the courts of Oklahoma.
Severability
If any part of these terms is found unenforceable, the rest remains in effect.
Entire Agreement
These terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Emmaus Development LLC regarding SimpleSuite software.
